These Terms & Conditions (“Terms”) govern your access to and use of our website at [www.eclat245.com] (the “Site”), as well as our services, including but not limited to bespoke closet organization, wardrobe refinement, personal styling sessions, and seasonal maintenance packages (collectively, the “Services”). By accessing the Site, booking a Service, or engaging with us in any way, you (“you,” “your,” or “Client”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or entity, you represent that you have the authority to bind that entity.
These Terms form a legally binding agreement between you and Eclat 245, a business operating in Ontario, Canada. We reserve the right to modify these Terms at any time; changes will be posted here with the updated “Last Updated” date. Your continued use of the Site or Services after changes constitutes acceptance of the revised Terms.
Please read these Terms carefully. They include important information about your rights and obligations, including limitations of liability. If you do not agree with these Terms, do not use the Site or Services.
1. Introduction & Acceptance of Terms
These Terms outline the rules for using our Site and Services. The Site is for informational and booking purposes only. By using the Site or Services, you affirm that you are of legal age (19+ in Ontario) and capable of forming a binding contract. If you are using the Site on behalf of a minor or another person, you are responsible for their compliance with these Terms.
We may terminate or suspend access to the Site or Services at our discretion, with or without notice, for any reason, including violation of these Terms.
2. Services Offered
Eclat 245 provides premium, bespoke Services tailored to high-end clients, including:
- Essence Package: Wardrobe audit, downsizing, and basic organization.
- Elevate Package: Personal styling, capsule wardrobe curation, and enhanced organization.
- Signature Package: Comprehensive wardrobe mastery with advanced customization.
- Harmony Maintenance Subscription: Seasonal swaps, rotations, and refreshes (add-on or standalone).
Service details, including inclusions and exclusions, are described on our Site and confirmed in your booking confirmation. Services are provided on a project basis unless specified otherwise (e.g., subscriptions). We reserve the right to refuse or cancel any booking at our discretion. Future expansions, such as closet renovations (e.g., custom cabinetry, lighting), will be subject to separate terms.
3. Booking & Deposits
- Booking Process: Reservations are made via the Site, email, or phone. Upon booking, you will receive a confirmation email outlining the Service details, date, time, location (e.g., your home in Ontario or virtual), and total price.
- Deposits: A non-refundable deposit of 50% of the total Service fee is required to secure your booking. Deposits secure your slot and cover preparation costs. The balance is due 48 hours prior to the Service start time.
- Payment Methods: We accept major credit cards, e-transfers, or wire transfers via secure third-party processors (e.g., Stripe). All payments are in Canadian Dollars (CAD) and subject to applicable taxes (HST in Ontario).
4. Cancellation & Rescheduling Policy
We understand schedules change, and we strive for flexibility while ensuring white-glove service for all clients.
- Client Cancellations: Provide at least 48 hours’ written notice (email to [info@eclat245.com]) to reschedule without penalty. Cancellations within 48 hours forfeit the full deposit; no refunds for completed Services.
- Our Cancellations: If we must cancel due to unforeseen circumstances, we will reschedule at no cost or provide a full refund within 7 business days.
- No-Shows: Treated as cancellations with less than 24 hours’ notice; full fee applies.
- Force Majeure: Neither party is liable for delays or cancellations due to events beyond control (e.g., illness, weather, pandemics). See Section 12 for details.
5. Client Responsibilities
To ensure a seamless experience, you agree to:
- Provide safe, unobstructed access to the Service location (e.g., your closet/home) on the scheduled date/time.
- Remove or secure high-value, fragile, or irreplaceable items (e.g., heirloom jewelry, designer pieces over $5,000) prior to our arrival. We recommend insuring valuables.
- Be present (or appoint a representative) for in-home Services; virtual sessions require stable internet.
- Provide accurate information about allergies, preferences, or restrictions during consultations.
- Cooperate fully, including granting permission for photos (anonymized) for our portfolio (with opt-out rights). Failure to comply may result in additional fees or Service delays, for which we are not liable.
6. Payment Terms
- Invoicing: A detailed invoice will be issued upon booking confirmation and/or Service completion.
- Due Dates: Balance due 48 hours before Service start; maintenance subscriptions billed quarterly in advance.
- Late Payments: Overdue amounts accrue 1.5% monthly interest. We may suspend Services until paid.
- Taxes & Fees: Prices exclude HST (13% in Ontario) and any third-party fees (e.g., travel over 50km from [Your Base City]).
- Refunds: Limited to deposits for our cancellations; no refunds for partial Services or changes requested by you.
7. Scope Changes & Additional Fees
Services are scoped based on initial consultations. Changes (e.g., adding styling to an Essence Package) require mutual agreement and may incur extra fees at our standard rates ($250/hour). We will provide a revised quote before proceeding. Undiscussed changes post-Service are billable.
8. Limitation of Liability
To the fullest extent permitted by law, Eclat 245’s total liability for any claim arising from the Site or Services (including negligence) shall not exceed the fees paid by you for the relevant Service. We are not liable for:
- Pre-existing damage, loss, theft, or wear to your items (e.g., clothing, accessories).
- Indirect, consequential, or incidental damages (e.g., emotional distress, lost time).
- Delays caused by you or third parties (e.g., traffic, suppliers). You agree to indemnify us against claims from your guests, family, or property damage unrelated to our negligence. Our Services carry inherent risks; you assume responsibility for your wardrobe’s care.
9. Intellectual Property
- Our IP: All Site content, designs, methodologies, photos, and materials are our exclusive property or licensed to us. You may not copy, reproduce, or distribute them without written consent.
- Your IP: You retain rights to your personal items and data. We may use anonymized photos/testimonials for marketing (with your consent; withdraw via email).
- Portfolio Use: Before-and-after images are ours for promotional use unless you opt out in writing pre-Service.
10. Confidentiality & Discretion
We prioritize your privacy: No client names, details, or project specifics will be disclosed without consent. This is mutual—you agree not to share our proprietary techniques, pricing, or vendor info. See our Privacy Policy for data handling details.
11. Force Majeure
Neither party is liable for failure to perform due to events beyond reasonable control, including acts of God, strikes, pandemics, or government restrictions. We will notify you promptly and work to reschedule.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Ontario, Canada. You consent to the personal jurisdiction of these courts.
13. Dispute Resolution
We encourage open communication. For disputes, contact us first to resolve informally. If unresolved, you agree to mediation in Ontario before litigation. The prevailing party in any action shall recover reasonable attorneys’ fees.
14. Termination of Agreement
These Terms terminate upon Service completion or as specified (e.g., subscription end). You may terminate early with notice, subject to fees; we may terminate for breach (e.g., non-payment) with 7 days’ notice. Post-termination, Sections 6-13 survive.
15. Changes to Terms
We may update these Terms; material changes will be emailed to registered Clients. Check periodically.
